Welcome to Doers InfoSoft. These Terms of Service outline the rules and regulations for the use of Doers InfoSoft's website (doersinfosoft.com) and our software engineering services. By accessing this website or engaging in our services, we assume you accept these terms and conditions in full. Do not continue to use Doers InfoSoft if you do not agree to take all of the terms and conditions stated on this page.

1. Service Engagement & Proposals

Doers InfoSoft provides custom software development, mobile app development, web development, UI/UX design, and IT consulting services.

  • Proposals: All project scopes, timelines, and costs outlined in our proposals are valid for 15 days from the date of issue.
  • Change Requests: Any changes to the agreed-upon scope of work (SOW) during the development phase will be subject to additional time and cost estimation, requiring written approval before execution.

2. Intellectual Property (IP) Rights

Protecting your intellectual property is a core value of our agency.

  • Client Ownership: Upon receipt of full and final payment for the project, Doers InfoSoft transfers 100% ownership of the custom source code, designs, and intellectual property developed specifically for the client.
  • Background Technology: Doers InfoSoft retains ownership of any pre-existing libraries, frameworks, or open-source tools used to build the software. We grant the client a non-exclusive, perpetual license to use these background technologies as part of the delivered software.
  • Website Content: All content on the Doers InfoSoft website (text, graphics, logos) is the property of Doers InfoSoft and is protected by copyright laws. You may not reproduce our website content without prior written consent.

3. Payment Terms & Milestones

Our payment structures are designed to align with project progress and deliverables:

  • Fixed-Bid Projects: Payments are broken down into milestones (e.g., 25% upfront, 25% upon design approval, 25% upon beta delivery, 25% before final production launch).
  • Time & Material / Dedicated Teams: Invoices are generated monthly based on the hours logged and resources utilized. Payments are due within 7 days of the invoice date.
  • Late Payments: Doers InfoSoft reserves the right to pause development or withhold source code delivery if payments are delayed beyond the agreed terms.

4. Warranties and Maintenance

We stand by the quality of our code:

  • Bug Fixing Warranty: We provide a complimentary 30-day bug-fixing period starting from the date of the final deployment to the production environment. This covers any functional bugs related to the agreed scope.
  • Out of Scope: This warranty does not cover issues caused by third-party API changes, server/hosting failures, or modifications made to the code by the client or external developers post-launch.
  • Ongoing Support: After the warranty period, ongoing maintenance, feature additions, and support are governed by a separate Annual Maintenance Contract (AMC).

5. Confidentiality (NDA)

Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. Doers InfoSoft is willing to sign a mutual Non-Disclosure Agreement (NDA) before discussing sensitive project details.

6. Limitation of Liability

In no event shall Doers InfoSoft, nor any of its officers, directors, and employees, be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of this website or the software delivered. Our total liability for any claim arising out of the services shall not exceed the total amount paid by the client for the specific project milestone in question.

7. Termination of Services

Either party may terminate a project engagement with a 30-day written notice. Upon termination, the client is responsible for paying for all work completed up to the date of termination. Doers InfoSoft will deliver all work-in-progress code corresponding to the cleared payments.

8. Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of Gujarat, India. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.
